Terms and Conditions for our Training Courses

PLEASE READ THESE TERMS AND CONDITIONS CAREFULLY BEFORE REGISTERING YOUR INTEREST IN, OR APPLYING TO, ANY OF OUR TRAINING COURSES (“the Courses”).

1. Who we are and how to contact us

Scaleup Machine is registered in England and Wales as a limited company under company number 16390289 (“Scaleup Machine”, “we”, “us” or “our”). To contact us, please email contact@scaleupmachine.com.

These terms apply when you express your interest in, or apply for, any of our Courses (individually a “Course”). Please read them carefully.

2. By registering or applying you accept these terms

By registering your interest in, or applying for, any of our Courses, you confirm on behalf of your business that you accept these terms and that you and it agree to comply with them.

If you do not agree to these terms, you must not register your interest for, or apply to, any of our Courses.

We recommend that you print or download a copy of these terms for future reference.

By registering your interest in any of our Courses, you agree to receive further information from us about the Courses, including details about course dates and how to complete your registration.

You acknowledge that registering your interest does not secure you a place on any requested Courses.

3. Application process

You will need to comply with any eligibility criteria and complete a registration form on our website to express interest in one of our Courses.  On receipt of your application, we will assess your eligibility and contact you to offer you a place or decline your application. If you have been offered a place on one of our Courses, you will need to complete the application form and pay the relevant Course fees to secure your place.

You must ensure that any information you provide in your application, and during the Course, about you and your business, is true and correct.

4. Course terms

By registering your interest in or applying to any of our Courses, you agree on behalf of yourself and your business that:

  • your place on any of our Courses is conditional upon Scaleup Machine having received the relevant amount of Course fees in cleared funds from your business upon receipt of your application.
  • it is your responsibility to read the Course description and determine whether it meets your requirements.
  • you agree to be contacted by a third party evaluator during and after the Course. The name of the evaluator will be made known to you before they contact you.
  • we reserve the right to cancel or postpone any of our Courses at any time. Please see the Refund Policy outlined below.
  • we may need to change the content, structure, venue, timing, course directors/presenters of a Course (for example if a venue is not available or in case of sickness or other absence).  We will endeavour to notify you of any such change as soon as reasonably practicable. We will have no liability or obligation to you or your business for any such change, except as set out in the Refund Policy outlined below.
  • you will comply with our training code of conduct.
  • the course materials used in the Course have been created by Scaleup Machine for use within this Course only. You do not have the right to use these materials for any further training or as part of any other course(s). You will not license, distribute, publish, broadcast or otherwise circulate such materials. You agree on behalf of your business that it will indemnify us in respect of any loss suffered by us as a result of any breach of this paragraph.
  • online course and portal usernames and passwords are for your personal use only and should not be passed to anyone else. You should protect your log-in information at all times.
  • unless otherwise agreed between you and the Course venue, all facilities, amenities and equipment made available by it to you are only for the purposes of, and for the duration, of the Course and must be used strictly in accordance with the venue’s instructions from time to time.
  • you will comply with the end user licence agreement for the portal/learning platform used on the Course.

If your application is successful and you participate in the Course, you and your business agree to provide necessary information about your business, to help us evaluate the Course. This will include, for example, information on your existing GTM practices and financial information relating to your business (such as turnover) before and after you have participated in the Course. Data will be collected on registration, as part of a diagnostic before starting the Course, and through surveys, some of which will take place after the Course has finished.

5. Scaleup Machine’s obligations

Scaleup Machine will:

  • deliver the Course with reasonable care and skill and in a professional manner.
  • use reasonable endeavours to ensure that the content of the Course matches the Course description.

6. Eligibility Criteria

Some of our Courses may include eligibility criteria in the course description. You will only be able to apply for a place on one of these Courses if you and your business meet the eligibility criteria listed against the Course.

7. Cancellation / postponement of Courses

Scaleup Machine reserves the right to cancel or postpone any Course, in whole or in part, without any obligation or liability to you or your business other than as set out in our Refund Policy outlined below.

Scaleup Machine may also cancel your place on a Course and terminate the contract without any liability to you or your business, if you or your business are in breach of these terms.

8. Refund Policy

Postponement, cancellation or termination by Scaleup Machine

If a Course is postponed or cancelled by Scaleup Machine, we will endeavour to give you reasonable notice of such postponement or cancellation, and will refund the fee you have paid:

  • in full if the Course is entirely cancelled; or
  • in part (pro rata) if only part of the Course is cancelled; or
  • in part (up to a maximum of 15%) if the Course is postponed, but you are offered a place on another cohort.

If we terminate the contract because you or your business is in breach of these terms, we reserve the right to retain the full amount of fees you have paid.

9. Withdrawal by you

If you withdraw from any Course (because of, for example, illness, home schooling or bereavement), Scaleup Machine will, at its discretion, give a full refund, transfer you to another cohort or permit you to transfer your place to a colleague from the same business.

If you only attend part of a Course (because of, for example, illness, home schooling or family bereavement), you may, at Scaleup Machine’s discretion, transfer to another cohort at no further cost.

Your place on the Course is not transferrable to a colleague except as provided in this Refund Policy and at Scaleup Machine’s discretion. Any such colleague must meet Course eligibility criteria (if applicable) and agree to these terms.

10. Intellectual property

All intellectual property rights (including copyright) in any course materials or other learning materials made available in connection with any of our Courses, whether online or in hard copy, belong to Scaleup Machine.

You agree that you will only use such materials for your private study and/or internally within your business and you will not copy or distribute them, or permit anyone else to copy or distribute them, outside of your business.

11. Disruption of online access/technical support

Scaleup Machine will not be responsible for any delay or disruption to your access to Course materials as a result of any of the following:

  • operation of the internet (including the effect of viruses);
  • firewall restrictions which may have been placed on your network or the computer you are using to gain access to the Course materials; or
  • the failure of telecommunications links or equipment or browser issues.

We accept only the obligations detailed below to provide technical and content support in connection with any Course or related online platform.

  • If you report a fault, we will use reasonable endeavours to provide a solution, but we do not guarantee that the support provided will resolve your technical problems.
  • Periods of downtime may be necessary from time to time in respect of the platform used in the Course. Technical support may not be available at such time. We aim to minimise any such downtime but will not have any liability for any periods of unavailability.
  • We cannot guarantee uninterrupted availability of online learning resources. In particular, we may suspend access to online resources for the purpose of scheduled or emergency maintenance, repairs and upgrades or to improve performance and functionality.
  • We will not be responsible for any problems or technical malfunction of any equipment or service not owned or operated by us, such as telephone networks or lines; computer systems, servers or providers; computer equipment or software; delayed or failed receipt of any email or online application due to technical problems or traffic congestion on the internet, telephone lines or any website; or any combination of these.

12. Accuracy of information about the Course

Although we make reasonable efforts to update the information about our Courses, Scaleup Machine makes no representations, warranties or guarantees, whether express or implied, that the content we provide is accurate, complete or up to date, at any time.

13. Responsibility for loss or damage suffered by you or your business

Please note that we only provide information about the Courses to business users, and only businesses can apply to join our Courses.  If you are a consumer, you should not apply for our Courses.

We will not be liable for any loss or damage, whether in contract, tort (including negligence), breach of statutory duty, or otherwise.

Our liability is limited to the fee paid by your business for your place on one of our Courses.

We will not be liable for any:

  • loss of profits, sales, business, or revenue;
  • business interruption;
  • loss of anticipated savings;
  • loss of business opportunity, goodwill or reputation; or
  • any indirect or consequential loss or damage.

Nothing in this paragraph will exclude or limit our liability for: (a) death or personal injury caused by negligence; or (b) fraud or fraudulent misrepresentation; or (c) any liability that cannot be excluded or limited under applicable law.

14. Events outside our control

We will not be liable for any failure to perform, or delay in performing, any of our obligations under these terms that is caused by an event outside our reasonable control, including without limitation fire, flood, terrorist attack, civil unrest, strikes, epidemic or pandemic, lockdowns, or actions or delays by any government authority (“Force Majeure Event“).

Our obligations under these terms will be suspended for the period that the Force Majeure Event continues, and the time to perform these obligations shall be extended for that period. We will take reasonable steps to bring the Force Majeure Event to a close or to find a solution by which our obligations under these terms can be performed despite the Force Majeure Event.

16. We may make changes to these terms

We may amend these terms from time to time. Please check these terms to ensure you understand the terms that apply at the time that you register your interest or apply for any of our Courses.

17. How we may use your personal information

We will only use your personal information in respect of our Courses as set out in our Privacy Notice, which can be accessed here.

We may use your personal information to enable you to be contacted by a course evaluator for feedback on the Course.
